Welcome to The Marketing Clerics. These Terms of Service (“Terms”) govern your use of our website, software, and applications (collectively, the “Service”), including our tools for Google Business Profile review management.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not use the Service.
1. Description of Service
The Marketing Clerics provides digital marketing tools, including a specific application that connects to the Google Business Profile (GBP) API. This application allows you to:
- Import and view customer reviews from your Google Business Profile.
- Draft and post responses to reviews directly from our platform.
- Analyze review sentiment and performance metrics.
2. Google Business Profile & API Usage
Our Service interacts with the Google Business Profile Application Programming Interface (API). By using our Service to manage your Google Business Profile, you explicitly acknowledge and agree to the following:
A. Dependence on Google
Our Service relies on the continued availability of the Google Business Profile API. We do not control Google. If Google changes, restricts, or discontinues their API, certain features of our Service may stop working. We are not liable for any service interruptions caused by Google’s platform changes.
B. Compliance with Google’s Policies
Your use of our Service is subject to Google’s Terms of Service and Google Business Profile Policies. You agree NOT to use our Service to:
- Post fake, misleading, or incentivized reviews.
- Spam customers with automated or irrelevant responses.
- Harass, bully, or use hate speech in your review responses.
- Violate any content policies set forth by Google.
Violation of Google’s policies may result in the suspension of your Google Business Profile and termination of your account with us.
C. Grant of Authority
By connecting your Google account to our Service, you grant The Marketing Clerics permission to access, read, and write data to your Google Business Profile on your behalf, strictly for the purposes described in these Terms and our Privacy Policy.
3. Account Registration & Security
To use our Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain the security of your password and API credentials.
- Notify us immediately of any unauthorized use of your account.
You are responsible for all activities that occur under your account.
4. User Content & Data Ownership
You retain ownership of your data. We do not claim ownership of the reviews, business information, or customer data you process through our Service.
By using the Service, you grant The Marketing Clerics a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content solely as necessary to provide the Service to you (e.g., displaying your reviews in your dashboard).
5. Prohibited Uses
In addition to Google’s policies, you agree not to:
- Reverse engineer, decompile, or disassemble any aspect of our Service.
- Use the Service to build a competing product or service.
- Sell, rent, or sub-license access to our Service to a third party without our prior written consent.
- Use the Service for any illegal or unauthorized purpose.
6. Payment and Subscription
- Fees: Services are billed according to the plan you selected (e.g., the “2026 Marketing Program”).
- Cancellation: You may cancel your subscription at any time. Access to the Service will continue until the end of your current billing cycle.
- Refunds: Refunds are handled on a case-by-case basis as outlined in your specific Service Agreement.
7. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or if your use of the Google API violates Google’s API Services User Data Policy.
8. Limitation of Liability
The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by law, The Marketing Clerics shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, data, use, or goodwill.
- The suspension, deletion, or restriction of your Google Business Profile by Google.
- Service interruptions resulting from Google API downtime or changes.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.
